MUTUAL NON-DISCLOSURE AGREEMENT

Between Maine Street Market LLC, a Florida limited liability company, doing business as GZD Consulting (“GZD”), and [Kenneth Omoruyi, on behalf of himself and his businesses, including CKO CPAs & Advisors and the Enrolled Agent Marketplace] (“Kenneth”). Together, the parties. Dated [____].

The parties are exploring, and may pursue, a strategic advisory partnership across CKO, the Enrolled Agent Marketplace, and Kenneth's founder authority work. To do that well, each will share information the other should hold in confidence. This sets out how both will treat it.

1. What is confidential. Any non-public information one party shares with the other in connection with this work, whether business, financial, client-related, technical, or strategic, and whether shared in writing, in conversation, or in any other form. It need not be marked confidential to be covered.
2. How each party will treat it. Each party will use the other's confidential information only for the purpose above, protect it with the same care it gives its own sensitive information, and share it only with those who genuinely need it and are held to the same care.
3. What is not covered. Information that is or becomes public through no fault of the receiving party; was already known before it was shared; is independently developed without use of the other's information; is rightfully received from someone free to share it; or must be disclosed by law, in which case the receiving party gives reasonable notice where it can.
4. No obligation, no ownership. Exploring this partnership binds neither party to proceed. Nothing here transfers ownership of, or grants any license to, either party's information or ideas.
5. Returning materials. On request, or if the parties decide not to proceed, each will return or destroy the other's confidential materials, keeping only what the law requires.
6. How long this lasts. These obligations continue for [three years] from the date information is shared. Anything that qualifies as a trade secret stays protected for as long as it remains one.
7. Governing law. This agreement is governed by the laws of the State of Florida.

This exists for one reason: so both parties can speak openly and build in trust.
